1. Eligibility

The services (“Services”) of Vendor Group®, LLC (with its affiliates, “VendorGroup®”, “our” or “we”) are intended for individuals who are 18 years of age or older. By accessing or using our Services, you represent and warrant that you are 18 years of age or older.

2. User Conduct

You agree to use our Services only for lawful purposes and in a manner consistent with these terms and conditions (the “Terms”). You are solely responsible for any content that you post, upload, or transmit through our Services.

You agree not to use our Services to:  
• violate any applicable laws or regulations;  
• infringe the rights of any third party, including intellectual property, privacy, or publicity rights;  
• transmit any viruses, malware, or other harmful code;  
• engage in any activity that interferes with or disrupts our Services or servers;  
• attempt to gain unauthorized access to our Services or servers.  
• send non-approved press releases.

3. Intellectual Property

All content on our website, including text, graphics, logos, icons, images, and software, is the property of VendorGroup®, its affiliates, or its licensors and is protected by United States and international copyright laws. You may not use our content for any commercial purpose without our prior written consent.

4. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without any warranties, either express or implied. We do not warrant that our Services will be uninterrupted or error-free, that defects will be corrected, or that our Services are free from viruses or other harmful components.

5. Limitation of Liability

To the maximum extent permitted by law, VendorGroup® and its affiliates and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or your use of our Services.

6. Indemnification

You agree to indemnify and hold harmless VendorGroup® and its affiliates, officers, directors, employees, agents, partners and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of our Services or your breach of these Terms including services in connection with SEC compliance, any press release, conference call and/or webcast provided, as well as any listed exchange requirements.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law.

8. Changes to These Terms

We reserve the right to modify these Terms at any time, in our sole discretion. We will post any changes to these Terms on our website. Your continued use of our Services following the posting of changes constitutes your acceptance of any revised Terms.

9. Service

VendorGroup reserves the right, in its sole discretion, to limit, defer, or reject client-requested changes deemed not materially relevant to the defined scope, functionality, or intended outcomes of the project.

Disclaimer

Any copying, re-publication or re-distribution of data provider’s (each, a “Provider”) content or of any content used on this site, including by framing or similar means, is expressly prohibited without prior written consent of Provider.

Quotes and other data are provided for your personal information only, and are not intended for trading purposes. Provider and its data providers shall not be liable for any errors or delays in the quotes or other data, or for any actions taken in reliance thereon.

Each client authentication is processed in an SSL encrypted session between the client browser and the Providers’ servers. In order to ensure the highest level of security, Verisign Global Server IDs have been installed on each server. Global Server IDs enable clients to establish an SSL encrypted session with the server. No clear text password authentication is possible.

When you've finished accessing the Services, please don't forget to log off. This will prevent someone else from accessing your account if you leave your computer and your session hasn't "timed out," - i.e. automatically shut down.

Terms

Any Website Services Agreement (the “Agreement”), by and among Vendor Group, LLC (“VendorGroup®”) and the company named herein (the “Client”), shall be effective from the date hereof and the initial term shall end three (3) years from the date hereof (the “Initial Term”). This Agreement shall be automatically renewed for additional three (3) year periods unless terminated in writing by the Client with not less than ninety (90) days’ notice prior to the end of a Term.

Project Completion & Launch Readiness
A website shall be considered Complete when all scoped design, development, and functionality have been delivered, reviewed, and approved, and the website is technically ready for public launch (“Launch-Ready”).The timing of a public launch is at the Client’s discretion; however, postponing launch does not pause hosting, maintenance, or platform availability once the website is deemed Launch-Ready.

Hosting & Support Fee Commencement
If the website is not published within the thirty (30) day staging grace period, the Client’s agreed-upon monthly hosting and support fees shall automatically commence on day thirty-one (31), regardless of whether the website has been publicly launched.Delays caused by internal approvals, legal review, content readiness, or strategic timing do not extend the grace period or delay the start of hosting and support fees.

Maintenance & Content Updates
The Client’s monthly hosting and support services include up to sixty (60) minutes of routine website maintenance and content updates per calendar month.Routine maintenance and content updates may include text revisions, image replacements, document uploads and replacements, management and board member updates, governance document updates, event updates, contact information changes, blog updates and similar non-technical content modifications.Unused maintenance time does not roll over to future months.The monthly maintenance allowance does not include new page creation, website redesigns, custom programming, functionality enhancements, third-party integrations, data feed modifications, accessibility remediation projects, SEO initiatives, content creation, or other development work outside the scope of routine maintenance.Any work requested beyond the included monthly maintenance allowance shall be performed at VendorGroup®’s then-current hourly rates and subject to scheduling availability.

Late Payments
If the Client is ten (10) business days late on payments for any services, VendorGroup®, at its sole and absolute discretion, may suspend all services. The Client shall forfeit all negotiated discounts, and regular list rates shall apply from the date payment was due until full payment is received, plus interest if applicable.If the Client has subscribed to website hosting services, a reactivation fee of one thousand dollars ($1,000) applies to restore services suspended due to late payment

Privacy Policy

We explicitly ask when we need information that personally identifies you ("Personal Info rm at ion") . For example, we ask you for your name and credit card number if you wish to purchase certain services. We would need your e-mail address, address and phone number for notification and billing purposes. We would need your Personal Information to operate the Service and we may occasionally inform you of new features, services and products. In order for us to provide you with such content, we will not share your Personal Information with our content providers and partners.
